DEBENTURES AFFECTED BY SUPPLEMENTAL INDENTURES. Debentures affected by a supplemental indenture that are authenticated and delivered after the execution of such supplemental indenture pursuant to the provisions of this Article XI may bear a notation in form approved by the Corporation, as to any matter provided for in such supplemental indenture. If the Corporation shall so determine, new Debentures so modified as to conform, in the opinion of the Board of Directors of the Corporation, to any modification of this Indenture contained in any such supplemental indenture may be prepared by the Corporation, authenticated by the Trustee and delivered in exchange for the Debentures then Outstanding.

If the Corporation Company shall so determine, new Debentures so modified as to conform, in the opinion of the Board of Directors of the CorporationCompany, to any modification of this Indenture contained in any such supplemental indenture may be prepared by the CorporationCompany, authenticated by the Indenture Trustee and delivered in exchange for the Debentures then Outstanding.
