Common use of Deactivation Clause in Contracts

Deactivation. Notwithstanding any provision to the contrary herein, the State, in its sole discretion, need not provide advance notice or a cure period and may immediately deactivate Provider’s Vendor API Key if the State determines such action is warranted to maintain the confidentiality of Confidential Information as required in §2.C and this agreement.
