Database License. CINDAS LLC (“CINDAS”) hereby grants Licensee a non-exclusive, non-transferable license to obtain access to the Databases and all updates in accordance with the terms and conditions set forth herein. Licensee may use the Databases for search and retrieval purposes in the internal operation of its organization only or, if Licensee is an individual, for his personal use only. Licensee may also print and download selected records for research and scholarly purposes. This license is a site license, which allows for access by a single entity (school, business, or public agency) located either in a single building or in a cluster of related buildings situated within a compact geographic area such as a single campus, a company main headquarters facility or a public agency's central office. The Databases may be networked throughout the geographic area and may also be made available remotely through secure access procedures that Licensee establishes. If Licensee is an academic institution, then this license extends to Licensee's Authorized Users. Authorized Users are faculty, staff, students and walk-in patrons of its libraries. The Databases may also be used for purposes of research or education, as follows:

Database License. ▇▇▇▇▇▇▇▇▇'▇ shall make available to Buyer on CD ROM or other electronic media or at ▇▇▇▇▇▇▇▇▇'▇ FTP site an image database containing scanned images provided to ▇▇▇▇▇▇▇▇▇'▇ by its suppliers pursuant to nonexclusive license, and ▇▇▇▇▇▇▇▇▇'▇ copyrighted text database that describes the image database. Buyer shall be responsible for downloading periodic updates of such databases. ▇▇▇▇▇▇▇▇▇'▇ hereby grants to Buyer a nonexclusive license to download and use its copyrighted text data base and a nonexclusive sublicense to download and use image data bases provided by its suppliers, in each cage solely for the purpose of ordering Products from ▇▇▇▇▇▇▇▇▇'▇, and only to the extent permitted by the Terms of Provision and Use Agreement referenced in Section 16 hereof. Such license and sublicense shall expire upon termination of this agreement, notwithstanding any provision of the Terms of Provision and Use Agreement to the contrary. Buyer shall be responsible for payment of inbound and outbound bandwidth charges and all other communications charges associated with downloading and updating such databases. Buyer recognizes the irreparable injury which might result to the business of ▇▇▇▇▇▇▇▇▇'▇ if Buyer should utilize such databases in contravention of the provisions of this Section 12, and agrees that in addition to any legal remedies ▇▇▇▇▇▇▇▇▇'▇ may have, ▇▇▇▇▇▇▇▇▇' s shall be entitled to injunctive relief and such other equitable remedies as a. court of competent jurisdiction may deem appropriate, without the requirement to post any bond in connection therewith.

Database License. During the Term of this Agreement, and subject to the terms and conditions contained in this Agreement, Adflare hereby grants to Partner a royalty free, non-transferable, non- exclusive license, to (i) use, transmit, integrate, display and distribute the Adflare Results (the “Content”) via the Partner Service, to Internet end-users on the Partner Site, and (ii) subject to the terms hereof, sublicense the Content to Partner Affiliates, provided that such Partner Affiliates shall enter into a written contract with Partner by which the same license and trademark limitations and restrictions are placed on Partner Affiliates as are placed hereby on Partner. The rights granted by Adflare hereunder, including without limitation the license regarding the Content, are limited to the display and distribution as part of the Partner Service.

Database License a. EBSCO hereby grants to the Licensee a nontransferable and non-exclusive right to use the Databases and Services made available by EBSCO according to the terms and conditions of this Agreement. The Databases and Services made available to Authorized Users are the subject of copyright protection, and the original copyright owner (EBSCO or its licensors) retains the ownership of the Databases and Services and all portions thereof. EBSCO does not transfer any ownership, and the Licensee and Sites may not reproduce, distribute, display, modify, transfer or transmit, in any form, or by any means, any Database or Service or any portion thereof without the prior written consent of EBSCO, except as specifically authorized in this Agreement. b. The Licensee is authorized to provide on-site access through the Sites to the Databases and Services to any Authorized User. The Licensee may not post passwords to the Databases or Services on any publicly indexed websites. The Licensee and Sites are authorized to provide remote access to the Databases and Services only to their patrons as long as security procedures are undertaken that will prevent remote access by institutions, employees at non-subscribing institutions or individuals, that are not parties to this Agreement who are not expressly and specifically granted access by EBSCO. For the avoidance of doubt, if Licensee provides remote access to individuals on a broader scale than was contemplated at the inception of this Agreement then EBSCO may hold the Licensee in breach and suspend access to the Database(s) or Services. Remote access to the Databases or Services is permitted to patrons of subscribing institutions accessing from remote locations for personal, non-commercial use. However, remote access to the Databases or Services from non-subscribing institutions is not allowed if the purpose of the use is for commercial gain through cost reduction or avoidance for a non-subscribing institution. Remote access for personal use from these institutions is permissible. c. Licensee and Authorized Users agree to abide by the Copyright Act of 1976 as well as by any contractual restrictions, copyright restrictions, or other restrictions provided by publishers and specified in the Databases or Services. Database License. Throughout the Term hereof, Wier shall be entitled to u▇▇ ▇ny and all Databases owned by the Company or licensed to the Company. Wier may use such Databases ▇▇▇ the purpose of marketing the products and services offered by any entity in which Wier or a member of Wier's ▇▇▇▇diate family has ▇▇ ▇▇nership interest of at least ten percent (10%).

Database License. MarketShare will cause MarketShare Sub to enter into and perform the Database License Agreement set forth as Exhibit B.

LookSmart grants no license for any such services directed primarily at Internet end-users outside North America.
