Data Exchange and Reporting. The Seller shall maintain the global safety database for the Products at its sole cost and expense; provided that, promptly following the Effective Date, the Company shall generate, and shall maintain during the Term, a Territory-wide Adverse Event database for the Products and shall generate Adverse Event reports for the Seller’s access and use, in each case, at the Company’s sole cost and expense. The Company shall be responsible for submitting Adverse Events reports to the applicable Governmental Authorities in the Territory.
