Customer Tooling Sample Clauses
The 'Customer Tooling' clause defines the rights and responsibilities regarding any tools, equipment, or software provided by the customer for use in the performance of a contract. Typically, this clause specifies how such tooling should be handled, maintained, and returned, and may address issues like liability for loss or damage, or restrictions on use outside the agreed scope. Its core function is to ensure that both parties clearly understand the terms under which customer-supplied tools are managed, thereby reducing the risk of disputes over ownership, condition, or misuse.
Customer Tooling. The Customer acknowledges and agrees that all tooling, dies, test and assembly fixtures, jigs, gauges, patterns, casting patterns, cavities, molds, and documentation, including engineering specifications and test reports, together with any accessions, attachments, parts, accessories, substitutions, replacements, and appurtenances are owned by the Company except for those items set forth on Exhibit I (such items set forth on Exhibit I, the “Customer Tooling”). The Company acknowledges that the Customer Tooling is owned by Customer and is being held by the Company, or to the extent the Company has transferred Customer Tooling to third parties, by such third parties, as the Customer’s bailees at will. Additionally, Customer Tooling does not include any tooling manufactured by the Company or at the Customer’s request on or after the date of the Effective Date of this Agreement under a purchase order for the Customer unless and until such tooling has been fully paid for by the Customer in accordance with the applicable tooling purchase order.
Customer Tooling. 17.1 Unless otherwise agreed in writing, all Customer Tooling is owned by you for your exclusive use. All orders for Parts, or any request to access Customer Tooling, must be made through Blender.
17.2 You acknowledge that Customer Tooling is stored by Blender's Suppliers who will maintain it during the normal course of use. However Customer Tooling may need to be repaired from time to time and repair costs may be passed onto you.
17.3 Unless otherwise agreed in writing, Customer Tooling will be stored for up to 2 years without use, upon which Blender may notify you to arrange for the uplift of the Tooling, and you will then have 40 Working Days to arrange for it’s collection before it is destroyed.
17.4 You acknowledge that the expected life or durability for Customer Tooling (including number of shots for injection moulds) are only estimated values and are not guaranteed or contractually binding.
17.5 If Customer Tooling is transferred for any reason (initiated by you or Blender) to another Converter to manufacture the Parts:
(a) These Terms and Conditions of Trade shall continue;
(b) As the owner of the tool, you are responsible for all related transfer expenses and costs incurred (if any) for any relevant tooling rework by or for the new converter.
Customer Tooling. All right, title and interest in and to the customer tooling described in Schedule 1.03(c).
Customer Tooling. Corporate Sellers have in their possession production tooling in which some ownership interest may be asserted by third party customers set out on Exhibit 1.6. Corporate Sellers have not been notified that any such tooling is to be transferred to any other party within the 12-month period following the date hereof and closing hereof shall constitute delivery by Corporate Sellers and acceptance of possession by Buyer thereof.
