Customer Modifications. No modifications to luminaires, poles or related equipment may be made by Customer without prior written approval from Company. Company assumes no liability if luminaires, poles or related equipment are modified in any manner by Customer.
Customer Modifications. 5.2.1. Customer may modify its facilities, equipment, software, or other resources accessed which are used by Vendor in connection with performing the Services. Customer shall use reasonable efforts to consult with Vendor in advance about any such modifications that may impact Vendor’s performance hereunder. If Customer implements such proposed modifications, Customer shall reimburse Vendor for the reasonable costs identified in writing by Vendor or as may otherwise be agreed via the Change Procedures.
5.2.3. To the extent Customer modifies such facilities, equipment, software, or other resources accessed and used by Vendor in connection with performing the Services and does not inform Vendor in writing in advance as stated above, Customer shall pay Vendor on a time and materials basis at the rates set forth in the applicable Statement of Work for the reasonable costs incurred by Vendor modifying its software or other resources to the extent reasonably necessary to conform to Customer’s modifications and Vendor shall be excused from performing in accordance with this Agreement to the extent caused by Customer’s changes.

If Customer implements such proposed modifications, Customer shall reimburse Administrator for the reasonable costs identified in writing by Administrator within such time of being notified by Customer in advance of Customer initiating such changes.
(c) To the extent Customer materially modifies such facilities, equipment, software, or other resources accessed and used by Administrator in connection with performing the Services and does not inform Administrator in writing in advance as stated above, Customer shall pay Administrator on a time and materials basis at the rates set forth in the applicable Statement of Work for the reasonable costs incurred by Administrator modifying its software or other resources to the extent reasonably necessary to conform to Customer's modifications and Administrator shall be excused from performing in accordance with this Agreement to the extent caused by Customer's changes.

Customer Modifications. If Customer receives Source Code to the Licensed Software pursuant to Article 15 of this Software Licensing Agreement it shall do so under the following terms.
(A) Customer may modify, correct or enhance the Licensed Software in any manner, and subject to terms of Section 13.4 of the Framework Agreement any such modifications, corrections, or enhancements, and any related materials and documentation (and all intellectual property rights therein, including copyrights) shall belong exclusively to Customer (collectively, the Customer Modifications). Supplier agrees that any Customer Modifications to which Supplier gains access in the performance of its obligations hereunder or otherwise shall be deemed Customer Confidential Information under this Software Licensing Agreement.
(B) Supplier shall provide assistance to Customer for Customer Modifications on a time and materials basis, except as otherwise expressly set forth in an applicable Transaction Agreement. Supplier assigns all rights to and modifications resulting from such assistance to Customer. Supplier will not bill ▇▇▇tomer for work related to Customer Modifications without the express, prior written consent of Customer.
Customer Modifications. No modifications, changes or alterations to the Charging Equipment may be made during the Term without Company’s prior written approval.
Customer Modifications. The Products will be delivered to Customer with certain default settings and functionality. However, the Products have been configured to give Customer (and its personnel) the option to adjust, turn on and off certain settings or functions in their discretion, which may result in limited or no functionality. Any modification to Products’ default settings or circumvention, disabling, adjustment, or turning on or off of certain settings or functions (including switching to “offline mode” or manually accepting invalid bar codes or duplicate tickets) or any unintended use of the Products by Customer or its personnel (“Customer Modifications”) may result in limited or no functionality of the Products and other Deliverables, lost data and/or a loss of revenue by Customer. In no event will ParkHub be liable to Customer or any third-party for any losses of any kind arising out of any Customer Modification. Customer required additional enhancements, functionalization or customization of Suite, which are not included as a normal part of ParkHub’s feature update process, will be provided upon Customer request and at a rate of $350/hour.
