Customer Goodwill Sample Clauses
The Customer Goodwill clause defines how the value associated with a business’s reputation, customer relationships, and brand loyalty is treated within a contract. Typically, this clause clarifies whether goodwill is included in the assets being transferred or protected, and may outline restrictions on actions that could harm or diminish this goodwill, such as prohibiting disparagement or solicitation of customers. Its core function is to safeguard the intangible value that a business has built with its customers, ensuring that this value is preserved and not undermined during or after the contractual relationship.
