Current Services. As of the Effective Date of this Agreement, (i) all switched telecommunications services ("CURRENT SERVICES") offered by WorldCom (formerly WilTel, Inc.), WorldCom's parent company, WorldCom, Inc. (formerly LDDS Communications, Inc.) or any of WorldCom's affiliates, including without limitation, IDB WorldCom Services, Inc. (hereinafter referred to as the "WORLDCOM Group"), which are currently being provided by a member of the WorldCom group, Customer (which for purposes of this Section 24 will include Customer's parent company, Customer's subsidiaries and any other entities under common control with Customer; hereinafter referred to as the "CUSTOMER GROUP") pursuant to existing service agreements ("EXISTING AGREEMENTS") will be cancelled and no longer in force or effect except for changes or credits due for Current Services rendered as of the Effective Date of this Agreement and provisions intended to survive termination, such as limitation of liability, indemnification and confidentiality, and (ii) all Current Services provided a member of the Customer Group by a member of the WorldCom Group will be provisioned under the terms and conditions of this TSA. Simultaneous with the execution of this Agreement, if applicable, Customer shall cause all members of the Customer Group to agree to the cancellation of such Existing Agreements and the provision of Current Services under the terms and conditions of this Agreement and Customer agrees to provide WorldCom with reasonable documentation evidencing such agreement.
Current Services. For the services presented in Charts 1-9 of Exhibit C-l, IBM will measure and report its performance of the Services against the applicable Performance Standards and Minimum Service Levels during the initial ninety (90) day period immediately following the implementation of the application in the production service (such period is referred to herein as the "Initial Tracking Period"). IBM and Certegy will re-evaluate and jointly agree on changes to the Performance Standards and Minimum Service Levels during the Initial Tracking Period and implement as appropriate. The Performance Standards and Minimum Service Levels will be implemented and effective as of Commencement Date but the Service Credits shall not apply until the end of the Initial Tracking Period and agreement by both parties of the Minimum Service Levels that shall apply at all times thereafter unless otherwise agreed. In the event that agreement is not achieved in ninety (90) days, Section 16 of the Master Agreement will be followed.
Current Services. The City’s legal services agreement can be broken into two main components: the retainer, and hourly services. The agreement identifies certain services that are included within a “flat rate” monthly retainer. Currently the City pays $3,960 per month ($47,520 per year) under the retainer. Current Services. The Royal Edinburgh Hospital provides acute psychiatric and mental health services, including assessment and treatment for learning disabilities and dementia. Specialist services include the treatment of eating disorders, alcohol problems and young people’s mental health. The services currently on the Royal Edinburgh Hospital campus and other sites included in the scope of this IA are as follows: • Adult Mental Health – Acute Currently there are 100 inpatient beds for the assessment and treatment of acute mental health problems; these are provided over four wards which are staffed by multi-professional teams. There is also a 12-bedded Intensive Psychiatric Care Unit. Admission to the inpatient service is co-ordinated by Intensive Home Treatment Teams, which are based in each of the localities. In addition, there are assessment and Community Mental Health Teams and a multi-agency crisis centre, which provides eight places and allows for short stay crisis support of up to 5 days. There are between 1,600 and 1,800 admissions annually. The introduction of new models of home treatment has resulted in significant reductions in the length of stay in hospital and high-level bedmodelling suggests that a reduced number of beds will be required to support the service.
Current Services. Commencing November1, 2006 Employee will be deemed to provide services to Employer under a five month employment contract as set out in this Agreement. Employee agrees that during the regular employment term she will devote an average of 20-25 hours each week of her professional abilities to the management of Employer and to provide general management and assist the President in procuring financing and providing general operation of the Employer as its Interim Chief Operating Officer (COO). Employee shall avoid all customary and standard adverse interests or conflicts of interest during or after the period of his services to Employer. Employee will not during or after the term of this Agreement engage in any economic or competitive use of Employer's technology or proprietary information unless specifically agreed to in writing by Employer.
