Common use of Current Prospectus Clause in Contracts

Current Prospectus. If ▇▇▇▇▇▇▇ ▇▇▇▇▇ determines, based upon advice of counsel, that changes in applicable law, regulations or interpretations of the Securities and Exchange Commission (the "Commission") make it necessary or advisable to file a new registration statement with the Commission and/or deliver a current prospectus in connection with a Remarketing, the Operating Partnership shall file a new registration statement with the Commission, in a form reasonably acceptable to ▇▇▇▇▇▇▇ ▇▇▇▇▇ and its counsel, and furnish a current prospectus to be used by the Remarketing Underwriter in such Remarketing, as applicable.
