Cure by Licensor Sample Clauses

Cure by Licensor. If Licensee fails to perform any of its obligations under this Agreement, then upon at least ten (10) days’ notice (or reasonable shorter notice in emergencies), whether or not a Default has occurred, Licensor may perform on Licensee’s behalf any action necessary to cure the failure. Licensee shall reimburse Licensor for the full cost of Licensor’s action (including without limitation reasonable attorneys’ fees). Payment shall be due within five (5) days after Licensor’s written demand. Licensor’s remedies under this section are in addition to any other remedies available under this Agreement or under applicable law.
