Common use of Credit Ratings Clause in Contracts

Credit Ratings. Use commercially reasonable efforts to maintain at all times (a) a credit rating by each of S&P and Xxxxx’x in respect of the Term Facility and (b) a public corporate rating by S&P and a public corporate family rating by Xxxxx’x for the Borrower, in each case with no requirement to maintain any specific minimum rating.

Credit Ratings. Use commercially reasonable efforts to maintain at all times (a) a credit rating by each of S&P and Xxxxx’x in respect of the Term Facility provided for under this Agreement and (b) a public corporate rating by S&P and a public corporate family rating by Xxxxx’x for the Borrower, in each case with Company (it being understood that there shall be no requirement to maintain any specific minimum credit rating).

Use commercially reasonable efforts to maintain at all times (a) a credit rating by each of S&P and Xxxxx’x in respect of the Term Facility and (b) a public corporate rating by S&P and a or public corporate family rating rating, as applicable, by two of S&P, Xxxxx’x for the Borrowerand Fitch, in each case with no requirement to maintain any specific minimum ratingrating (it being understood and agreed that “commercially reasonable efforts” shall in any event include the payment by the Borrower of customary rating agency fees and reasonable cooperation with information and data requests by Xxxxx’x, S&P and Fitch, as applicable, in connection with their ratings process).

Use commercially reasonable efforts to maintain at all times (a) a credit rating by each of S&P and Xxxxx’x in respect of the Term Facility Facilities provided for under this Agreement and (b) a public corporate rating by S&P and a public corporate family rating by Xxxxx’x for the U.S. Borrower, in each case with no requirement to maintain any specific minimum rating.
