Credit Party Acknowledgments Sample Clauses
The "Credit Party Acknowledgments" clause serves to formally confirm that the parties involved in a credit agreement—typically borrowers, guarantors, or other obligors—recognize and accept the terms, conditions, and obligations set forth in the agreement. This clause may require each credit party to acknowledge their understanding of their responsibilities, such as repayment obligations, representations, and warranties, and to confirm that they have not relied on any outside representations not included in the contract. Its core function is to ensure all parties are fully aware of and agree to their commitments, thereby reducing the risk of future disputes over misunderstandings or undisclosed terms.
Credit Party Acknowledgments. The Agent shall have received such acknowledgments as it may have requested from the Credit Parties, acknowledging and agreeing that all obligations pursuant to the Credit Agreement (as amended by this Second Amendment, and with the increase to the Total Commitment contemplated herein) are entitled to the benefits of the respective Guaranties and Security Documents executed by them.
