CPP Reserved Rights. Notwithstanding any other provision of this Agreement to the contrary, CPP may, at its own expense and in close consultation with TILLOTTS, develop Licensed Formulations in the Secondary Indication Disease in the Licensed Territory until TILLOTTS exercises the Secondary Disease Election (defined below); provided, however, that CPP shall have no right to offer to sell or sell any Licensed Formulation in the Secondary Indication in the Licensed Territory except as expressly permitted under Section 4.4.2(c).
