Common use of Covered Persons Clause in Contracts

Covered Persons. The obligations of the Sellers under this Article XII shall extend, upon the same terms and conditions, to each Person, if any, who controls Buyer, the Company and each of their respective assigns, within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act, and to directors, officers, managers, employees, consultants and agents of Buyer or the Company and each of their respective assigns, and their controlling persons.

Covered Persons. The obligations of the Sellers Seller under this Article XII Section 9 shall extend, upon the same terms and conditions, to each Personperson, if any, who controls the Buyer, the Company and each of their respective successors and assigns, within the meaning of Section 15 of the Securities Act or Section 20 of the Securities Exchange Act, and to members, managers, directors, officers, managers, employees, consultants and agents of the Buyer or the Company and each of their respective assigns, and their controlling persons.

Covered Persons. The obligations of the Sellers Buyer and the Holders under this Article XII X shall extend, upon the same terms and conditions, to each Personperson, if any, who controls Buyerthe Buyer and the Holders, the Company respectively, and each of their respective assigns, within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act, and to directors, officers, managers, employees, consultants and agents of the Buyer or and the Company Holders, respectively, and each of their respective assigns, and their controlling persons.
