Covenants are Reasonable and Necessary. Executive agrees that due to the uniqueness of Executive’s skills and abilities and the uniqueness of the Confidential Information Executive possesses, the covenants set forth in this paragraph are reasonable and necessary for the protection and continuity of the goodwill and business of the Company and its subsidiaries and affiliates. Executive further agrees that, due to the proprietary nature of the business of the Company and its subsidiaries and affiliates, the restrictions set forth in this Exhibit C are reasonable as to duration and scope.
