In connection with any offer to purchase Securities under Section 10.01, the Company shall, to the extent applicable, (a) comply with Rules 13e-4 and 14e-1 (and any successor provisions thereto) under the Exchange Act, if applicable; (b) file the related Schedule TO (or any successor schedule, form or report) under the Exchange Act, if applicable; and (c) otherwise comply with all applicable federal and state securities laws To the extent that the provisions of any securities laws or regulations conflict with the provisions of this Indenture described in this Article 10, compliance by the Company with such laws and regulations shall not in and of itself cause a breach of the Company’s obligations described in this Article 10.
