Common use of Covenant to Assign and Cooperate Clause in Contracts

Covenant to Assign and Cooperate. Without limiting the generality of the foregoing, Employee shall assign and transfer to Employer the worldwide right, title and interest of Employee in the Inventions. Employee agrees that Employer may apply for and receive patent rights (including Letters Patent in the United States) for the Inventions in Employer’s name in such countries as may be determined solely by Employer. Employee shall provide to Employer all facts known to Employee and reasonably requested by Employer relating to the Inventions, and shall cooperate with Employer’s reasonable requests in connection with vesting title to the Inventions and related patents exclusively in Employer and in connection with obtaining, maintaining and protecting Employer’s exclusive patent rights in the Inventions.

Employee shall provide communicate to Employer all facts known to Employee and reasonably requested by Employer relating to the Inventions, Inventions and shall cooperate with Employer’s 's reasonable requests in connection with vesting title to the Inventions and related patents exclusively in Employer and in connection with obtaining, maintaining and protecting Employer’s 's exclusive patent rights in the Inventions.

Without limiting the generality of the foregoing, Employee Executive shall assign and transfer transfer, and does hereby assign and transfer, to Employer the worldwide world-wide right, title and interest of Employee Executive in the Inventions. Employee Executive agrees that Employer may file copyright registrations and apply for and receive patent rights patents (including without limitation Letters Patent in the United States) for the Inventions in Employer’s 's name in such countries as may be determined solely by Employer. Employee Executive shall provide communicate to Employer all facts known to Employee and reasonably requested by Employer Executive relating to the Inventions, Inventions and shall cooperate with Employer’s 's reasonable requests in connection with vesting title to the Inventions and related copyrights and patents exclusively in Employer and in connection with obtaining, maintaining maintaining, protecting and protecting enforcing Employer’s 's exclusive copyrights and patent rights in the Inventions.
