Seller understands that in Buyer's view it is essential to the successful operation of its business that Buyer retain substantially unimpaired Seller's current operating organization. Seller covenants and agrees that neither of them, nor any affiliate of either of them, without the prior written consent of Buyer, shall take any action which would induce any employee or representative of Seller prior to the Effective Time not to become or continue as an employee or representative of Buyer.
