Common use of Counterparts and Electronic Transmission Clause in Contracts

Counterparts and Electronic Transmission. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The exchange of copies of this Agreement and of signature pages by electronic mail in “portable document format” (“.pdf”) form, or by any other electronic means intended to preserve the original graphic and pictorial appearance of a document, or by a combination of such means, shall constitute effective execution and delivery of this Agreement and may be used in lieu of the original Agreement for all purposes.

Counterparts and Electronic Transmission. This Agreement may be executed in any number of several counterparts, each of which shall will be deemed to be an original, but original and all of which will together shall constitute one and the same instrument. The exchange instrument and delivery of copies an executed copy of this Agreement and of signature pages by electronic mail in “portable document format” (“.pdf”) form, facsimile transmission or by any other means of electronic means intended communication capable of producing a printed copy will be deemed to preserve the original graphic and pictorial appearance of a document, or by a combination of such means, shall constitute effective be execution and delivery of this Agreement and may be used in lieu as of the original Agreement for all purposesdate set forth on page one of this Agreement.
