COSTS AND EXPENSES OF THE AGENT. (a) The Borrower shall pay from time to time on demand all Costs of Collection and all reasonable costs, expenses, and disbursements (including attorneys’ reasonable fees and expenses) which are incurred by the Agent in connection with the preparation, negotiation, execution, and delivery of this Agreement and of any other Loan Documents, and all other reasonable costs, expenses, and disbursements which may be incurred by the Agent in connection with or in respect to the credit facility contemplated hereby or which otherwise are incurred with respect to the Liabilities.

(a) The Borrower Borrowers shall pay from time to time on demand all Costs of Collection and all reasonable costs, expenses, and disbursements (including reasonable attorneys’ reasonable ' fees and expenses) which are incurred by the Agent in connection with the preparation, negotiation, execution, and delivery of this Agreement and of any other Loan Documents, and all other reasonable costsnot exceeding, expenses, and disbursements which may be incurred by the Agent in connection with or in respect to the credit facility contemplated hereby or which otherwise are incurred with respect to the LiabilitiesAgent's attorneys, the aggregate of $75,000.00 fees plus actual out of pocket expenses incurred by such attorneys.
