Common use of Cost of Transaction Clause in Contracts

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as expressly set forth in Sections 12.28 and 12.29, the parties agree as follows: (i) Sellers shall pay the fees, expenses, and disbursements of Sellers and their agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto; and (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.

Whether or not the transactions contemplated hereby shall be consummated and except as expressly set forth in Sections 12.28 and 12.29otherwise provided herein, the parties agree as follows: (i) Sellers Seller shall pay the fees, expenses, and disbursements of Sellers Seller and their its agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments heretohereto and shall pay for the cost of any taxes or fees associated with the conveyance of the Assets; and (ii) Buyer shall pay the fees, expenses, expenses and disbursements of Buyer and its agents, representatives, accountants accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.
