Common use of Cost of Transaction Clause in Contracts

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 and Sections 11.1, 11.2, and 12.4: (i) Seller shall pay the fees, expenses, and disbursements of Seller and its agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto and (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 Sections 9, 13.1, 13.2, 13.5 and Sections 11.1, 11.2, and 12.414.5: (i) Seller shall pay the fees, expenses, and disbursements of Seller and its agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto and hereto; (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto; and (iii) Seller shall pay any state or local deed, stamp or other tax associated with or assessed in connection with the conveyance of any of the Purchased Assets.

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 and Sections 11.110.1, 11.210.2, and 12.411.4: (i) Seller shall pay the fees, expenses, and disbursements of Seller and its agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto and (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments heretohereto and the cost of survey, title insurance and recording fees.

Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 and Sections 9, 11.1, 11.2, and 12.4: (i) Seller shall pay the fees, expenses, and disbursements of Seller and its agents, representatives, accountantsconsultants, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto and (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, consultants, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as expressly set forth hereinin Section 12.28 (Certain Transaction Expenses; Transfer or Sales Taxes), the parties agree that, except as set forth in Section 9 and Sections 11.1, 11.2, and 12.4follows: (i) Seller Sellers shall pay the fees, expenses, and disbursements of Seller Sellers and its their agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto hereto; and (ii) Buyer Buyers shall pay the fees, expenses, and disbursements of Buyer Buyers and its their agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 and Sections 9, 11.1, 11.2, and 12.4: (i) Seller shall pay the fees, expenses, and disbursements of Seller and its agents, representatives, accountants, and legal counsel and the fees of X.X. Xxxxxxx and Company incurred in connection with the subject matter hereof and any amendments hereto and (ii) Buyer shall pay the fees, expenses, and disbursements of Buyer and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto.

Cost of Transaction. Whether or not the transactions contemplated hereby shall be consummated and except as set forth herein, the parties agree that, except as set forth in Section 9 and Sections 11.110.1, 11.210.2, and 12.410.4: (i) Seller Lessor shall pay the fees, expenses, and disbursements of Seller Lessor and its agents, representatives, accountants, and legal counsel incurred in connection with the subject matter hereof and any amendments hereto and (ii) Buyer Lessee shall pay the fees, expenses, and disbursements of Buyer Lessee and its agents, representatives, accountants and legal counsel incurred in connection with the subject matter hereof and any amendments hereto, including without limitation and the cost of survey, insurance and recording fees.
