Common use of CORPORATION IN GOOD STANDING Clause in Contracts

CORPORATION IN GOOD STANDING. In order to induce Lender to enter into this Agreement and to make the Loan as herein provided, Borrower hereby represents and warrants that Borrower shall be organized as a corporation, validly existing and in good standing under the Applicable Laws of the State of Delaware and has or will have the power and authority to execute, deliver and carry out the terms and provisions of this Agreement.
