Common use of Corporate Standing; Authorization Clause in Contracts

Corporate Standing; Authorization. OG&E is a corporation duly organized, validly existing and in good standing under the laws of the State of Oklahoma with all requisite corporate power, authority and legal right to execute, deliver, and perform its obligations under this Agreement and to consummate the transactions contemplated hereunder, and has taken all necessary corporate action to authorize the sale of the Shares hereunder on the terms and conditions of this Agreement and to authorize the execution, delivery and performance of this Agreement.
