Common use of Corporate Documents Clause in Contracts

Corporate Documents. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the authorization of the Transactions and any other legal matters relating to the Loan Parties, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

Corporate Documents. The Administrative Agent shall have received received, in form and substance reasonably satisfactory to it, such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the Borrower and the authorization of the Transactions and any other legal matters relating to the Loan Parties, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

Corporate Documents. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan PartyObligor, the authorization of the Transactions and any other legal matters relating to the Loan PartiesObligors, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

The Administrative Agent shall have received received, (i) with an executed counterpart for each Lender, true and complete copies of the certificate of incorporation and by-laws of the Borrower and each Subsidiary that is a party to any Loan Document, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of the Borrower or such documents and certificates Subsidiary, as the Administrative Agent or its counsel case may reasonably request relating to the organizationbe, existence and (ii) good standing certificates for the Borrower and each of each its Subsidiaries that is a party to any Loan Party, the authorization Document from their respective jurisdictions of the Transactions and any other legal matters relating to the Loan Parties, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counselorganization.

The Administrative Agent and the Documentation Agent shall have received such documents and certificates as the Administrative Agent, the Documentation Agent or its their counsel may reasonably request relating to the organization, existence and good standing of each Loan Credit Party, the authorization of the Transactions and any other legal matters relating to the Loan Partieseach Credit Party, this Agreement Agreement, the Subsidiary Guaranty or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent, the Documentation Agent and its their counsel.

Corporate Documents. The Administrative Agent shall have received from the Borrowers party hereto such documents and certificates as the Administrative Credit Agreement Agent or its counsel may reasonably request relating to the organization, existence and (if applicable in the jurisdiction of organization of the relevant Borrower) good standing of each Loan Partythe Borrowers, the authorization of the Transactions and any other legal matters relating to the Loan PartiesBorrowers, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

Corporate Documents. The Administrative Agent shall have received such other documents and certificates (including organizational documents and good standing certificates) as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan PartyObligor, the authorization evidencing each Obligor's approval of the Transactions transactions contemplated by the Basic Documents, and any other legal matters relating to each Obligor, the Loan Parties, this Agreement Basic Documents or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counseltransactions contemplated thereby.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Partythe Borrower, the authorization of the Series A Incremental Loan Transactions and any other legal matters relating to the Borrower and the Subsidiaries, the Loan Parties, this Agreement Documents or the Series A Incremental Loan Transactions, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

The Administrative Agent and the Lenders shall have received such documents and certificates as the Administrative Agent Agent, the Lenders or its their counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the authorization of the Transactions and any other legal matters relating to the Loan Parties, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent Agent, the Lenders and its their counsel.

Corporate Documents. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the authorization of this First Amendment and the Transactions New Facilities and any other legal matters relating to the Loan Parties, this Agreement First Amendment or the TransactionsNew Facilities, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.
