Cooperation With Tax Matters Partner. Subject to the other provisions of this Agreement, each Member agrees to cooperate with the Tax Matters Partner with respect to any action reasonably required by the Tax Matters Partner in connection with the Tax Matters Partner’s conduct of proceedings involving the Company.
