Common use of Cooperation with Respect to Enforcement Clause in Contracts

Cooperation with Respect to Enforcement. Irrespective of which Party controls an action pursuant to this Section 4.4, the Parties will cooperate in such enforcement action and the Enforcing Party will consider in good faith the comments of the other Party with respect to strategic decisions and their implementation with respect to such action. In furtherance of the foregoing, the Party initiating or defending any such enforcement action (the “Enforcing Party”) shall keep the other Party reasonably informed of the progress of any such enforcement action, and such other Party shall have the individual right to participate with counsel of its own choice at its own expense.

Irrespective of which Party controls an action pursuant to this Section 4.44.4 (the “Enforcing Party”), the Parties will cooperate shall collaborate in the choice of counsel with respect to such enforcement action and the Enforcing Party will shall consider in good faith the comments of the other Party with respect to strategic decisions and their implementation with respect to such action. In furtherance of the foregoing, the Party initiating or defending any such enforcement action (the “Enforcing Party”) shall keep the other Party reasonably informed of the progress of any such enforcement action, and such other Party shall have the individual right to join the suit and participate with counsel of its own choice at its own expense.

In furtherance of the foregoing, the Party initiating or defending any such enforcement action (the “Enforcing Party”) shall keep the other Party reasonably informed informed, in person or by telephone or e-mail, regarding the status and costs of the progress of such enforcement action prior to and during any such enforcement actionenforcement, and such other Party shall have the individual right to participate with counsel of its own choice at its own expense.

Irrespective of which Party controls an action pursuant to this Section 4.44.10, the Parties will cooperate discuss in good faith the enforcing Party’s choice of counsel with respect to such enforcement action and the Enforcing enforcing Party will consider in good faith the comments of the other Party with respect to strategic decisions and their implementation with respect to such action. In furtherance of the foregoing, the Party initiating or defending any such enforcement action (the “Enforcing Party”) shall keep the other Party reasonably informed of the progress of any such enforcement action, and such other Party shall have the individual right to join the suit and participate with counsel of its own choice at its own expense.
