Common use of COOPERATION WITH AGENTS OF THE ADVISER AND THE FUND Clause in Contracts

COOPERATION WITH AGENTS OF THE ADVISER AND THE FUND. The Sub-Adviser agrees to cooperate with and provide reasonable assistance to the Adviser, the Funds, the Funds' custodian and foreign sub-custodians, the Funds' pricing agents and all other agents and representatives of the Funds and the Adviser, provide them with such information with respect to the Funds as they may reasonably request from time to time in the performance of their obligations, provide prompt responses to reasonable requests made by such persons and establish appropriate interfaces with each so as to promote the efficient exchange of information and compliance with applicable laws and regulations.

The Sub-Adviser agrees to cooperate with and provide reasonable assistance to the Adviser, the FundsPortfolio, the Funds' Portfolio's custodian and foreign sub-custodians, the Funds' Portfolio's pricing agents and all other agents and representatives of the Funds Fund and the Adviser, provide them with such information with respect to the Funds Portfolio as they may reasonably request from time to time in the performance of their obligations, provide prompt responses to reasonable requests made by such persons and establish appropriate interfaces with each so as to promote the efficient exchange of information and compliance with applicable laws and regulations.
