Cooperation Regarding Routine Requests for Information and Certain Services. (a) The Parties acknowledge and agree that the Parties and their Affiliates may require in connection with the provision or receipt of any Service documents or Information in the possession of the other Party or the other Party’s Affiliates from time to time during the Term. During the Term and for two years thereafter, Provider shall keep books and records relating to the provision of the Services in a manner consistent with how such books and records were kept by Provider (or its predecessor) with respect to the Houston Business or the Seattle Business (as applicable for the Provider) as of the Effective Date, subject to Provider’s records retention policies (as such policies may be amended or otherwise modified from time to time). Without limiting any Party’s obligations under any other provision of this Agreement with respect to cooperation and the provision of information or access to books and records, each Party agrees that it and its Affiliates will reasonably cooperate with the other Party and the other Party’s Affiliates with respect to routine requests for documents or Information that the other Party and the other Party’s Affiliates reasonably may make from time to time in connection with the provision or receipt of any Service, including promptly responding to any telephonic requests for Information that the other Party or the other Party’s Affiliates may make from time to time. For the avoidance of doubt, nothing in this Section 3.10(a) requires a Party to provide any consulting or other services to the requesting Party or the requesting Party’s Affiliates or to incur any expenses (other than the expense associated with its personnel responding to requests for Information).
