COOPERATION IN FUTURE MATTERS. Executive hereby agrees that, for a period of three (3) years following the date of his termination, he shall cooperate with the Company's reasonable requests relating to matters that pertain to Executive's employment by the Company, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations or audits on behalf of the Company, or otherwise making himself reasonably available to the Company for other related purposes. Any such cooperation shall be performed at times scheduled taking into consideration Executive's other commitments, and Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly or per diem rate to be agreed by the parties to the extent such cooperation is required on more than an occasional and limited basis. Executive shall also be reimbursed for all reasonable out of pocket expenses. Executive shall not be required to perform such cooperation to the extent it conflicts with any requirements of exclusivity of service for another employer or otherwise, nor in any manner that in the good faith belief of Executive would conflict with his rights under or ability to enforce this Agreement or in the event of a termination by the Company pursuant to Section 5(e) above.

The Executive hereby agrees that, for a period of three two (32) years following the his date of his termination, he shall cooperate with the Company's Bank’s reasonable requests relating to matters that pertain to the Executive's ’s employment by the CompanyBank, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations investigations, or audits on behalf of the CompanyBank, or otherwise making himself reasonably available to the Company Bank for other related purposes. Any such cooperation shall be performed at times scheduled taking to take into consideration the Executive's ’s other commitments, and the Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly or per diem rate to be agreed upon by the parties Parties to the extent such cooperation is required on more than an occasional and limited basis. The Executive shall also be reimbursed for all reasonable out of out-of-pocket expenses. Any such cooperation shall be performed at times scheduled taking into consideration the Executive's other commitments, and the Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly or per diem rate to be agreed upon by the parties to the extent such cooperation is required on more than an occasional and limited basis. The Executive shall also be reimbursed for all reasonable out of pocket expenses. COOPERATION IN FUTURE MATTERS. Executive hereby agrees that, that for a period of three eighteen (318) years months following the date his termination of his terminationemployment, he shall cooperate with the Company's ’s reasonable requests relating to matters that pertain to Executive's ’s employment by the WFB and affiliation with Company and certain subsidiaries of Company, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations or audits on behalf of the CompanyCompany or WFB, or otherwise making himself reasonably available to the Company or WFB for other related purposes. Any such cooperation shall be performed at scheduled times scheduled taking into consideration Executive's ’s other commitments, and Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly rate of $250.00 per hour, plus expenses, or at a per diem rate to be agreed upon by the parties parties, to the extent such cooperation is required on more than an occasional and limited basis. Executive shall also be reimbursed for all reasonable out of pocket expenses. Executive shall not be required to perform such cooperation to the extent it conflicts with any requirements of exclusivity of service services for another employer or otherwise, nor in any manner that in the good faith belief of Executive would conflict with his rights under or ability to enforce this Agreement or in the event of a termination by the Company pursuant to Section 5(e) aboveAgreement.

COOPERATION IN FUTURE MATTERS. The Executive hereby agrees that, for a period of three two (32) years following the his date of his termination, he shall cooperate with the Company's Bank’s reasonable requests relating to matters that pertain to the Executive's ’s employment by the CompanyBank, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations investigations, or audits on behalf of the CompanyBank, or otherwise making himself reasonably reasonable available to the Company Bank for other related purposes. Any such cooperation shall be performed at times scheduled taking into consideration the Executive's ’s other commitments, and the Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly or per diem rate to be agreed upon by the parties to the extent such cooperation is required on more than an occasional and limited basis. The Executive shall also be reimbursed for all reasonable out of pocket expenses. The Executive shall not be required to perform such cooperation to the extent it conflicts with any requirements of exclusivity of service for another employer or otherwise, nor in any manner that in the good faith belief of the Executive would conflict with his rights under or ability to enforce this Agreement or in the event of a termination by the Company pursuant to Section 5(e) aboveAgreement.

COOPERATION IN FUTURE MATTERS. Unless the Executive exercises a Good Reason Opt Out, the Executive hereby agrees that, for a period of three eighteen (318) years months following the date his termination of his terminationemployment for any reason whatsoever, he shall cooperate with the Company's ’s reasonable requests relating to matters that pertain to the Executive's ’s employment by the Company, including, without limitation, providing information or limited consultation as to such matters, participating in legal proceedings, investigations or audits on behalf of the Company, or otherwise making himself reasonably available to the Company for other related purposes. Any such cooperation shall be performed at scheduled times scheduled taking into consideration the Executive's ’s other commitments, and the Executive shall be compensated (except for cooperation in connection with legal proceedings) at a reasonable hourly or per diem rate to be agreed upon by the parties to the extent such cooperation is required on more than an occasional and limited basis. Executive shall also be reimbursed for all reasonable out of pocket expenses. The Executive shall not be required to perform such cooperation to the extent it conflicts with any requirements of exclusivity of service services for another employer or otherwise, nor in any manner that in the good faith belief of the Executive would conflict with his rights under or ability to enforce this Agreement or in the event of a termination by the Company pursuant to Section 5(e) aboveAgreement.
