Common use of COOPERATION IN FUTURE MATTERS Clause in Contracts

COOPERATION IN FUTURE MATTERS. The Employer and Executive agree that certain matters in which the Executive will be involved during the Employment Term may necessitate the Executive's cooperation in the future. Accordingly, following the termination of the Executive's employment for any reason, to the extent reasonably requested by the Employer, the Executive shall cooperate with the Employer in connection with matters arising out of the Executive's service to the Employer, including, without limitation, providing information of limited consultation as to such matters, participating in legal proceedings, investigations or audits on behalf of the Employer, or otherwise making himself reasonably available to the Employer for other related purposes; provided that the Employer shall make reasonable efforts to minimize disruption of the Executive's other activities. The Employer shall reimburse the Executive for reasonable expenses incurred in connection with such cooperation and, to the extent that the Executive is required to spend substantial time on such matters, the Employer shall compensate the Executive at an hourly rate based on the Executive's Base Salary as in effect as of his termination date.
