The Cooperation; Coordination clause requires the parties to actively work together and communicate effectively to achieve the objectives of their agreement. In practice, this may involve sharing relevant information, attending joint meetings, or coordinating schedules and activities to ensure smooth project execution. Its core function is to facilitate collaboration and prevent misunderstandings, thereby reducing the risk of delays or conflicts arising from poor communication or lack of alignment between the parties.
COOPERATION/COORDINATION. The Parties will cooperate fully with each other and each will provide to the other any information or assistance that the other may reasonably request with respect to any course of action taken under this Section 12.5 (Interference, Opposition, Reexamination, and Reissue) with respect to [***]. The applicable Party will (a) keep the other Party reasonably informed of all developments in such proceeding, including to the extent permissible, the status of any settlement negotiations and the terms of any offer related thereto, (b) provide to the other Party for its review and discussion, copies of all material submissions or agreements arising in connection with such proceeding sufficiently in advance of their filing, due date, or execution date so as to give the other Party sufficient time to comment thereon, and (c) give good faith consideration to the other Party’s comments. Each Party and its respective Affiliates will promptly supply or execute all papers and instruments, or require their respective employees to supply or execute such papers and instruments, as may be necessary and appropriate for purposes of assisting the applicable Party in any course of action taken with respect to [***] under this Section and will promptly inform the other Party of matters that may, in such Party’s reasonable judgment, affect any course of action taken with respect thereto.
COOPERATION/COORDINATION. 9.1. Contractor shall cooperate with other Owner/PSFA Contractors and subcontractors to assure completion of the Project in accordance with the terms and conditions of the agreement with said Owner.
9.2. Contractor shall fully cooperate with other Owner/PSFA Contractors who are engaged in work on the Project. The Contractor shall not interfere with the performance of such work, and the Contractor shall coordinate its work with the work of other Owner/PSFA employed Contractors that may be working in the area, so that the work of the entire Project may be performed with the utmost speed consistent with good practice.

Customer shall cause its employees, agents, contractors, and any other third parties engaged by Customer to cooperate and coordinate with ParkHub in its provision of the Deliverables and provide reasonable access to the Premises, employees and equipment as required to enable ParkHub to provide the Deliverables. Customer shall take all steps necessary to prevent Customer-caused delays in ParkHub’s provision of the Deliverables.

Either Party may from time to time replace its Principal Contact with a different employee, but unless required due to events beyond its control, neither Party will replace its Principal Contact without at least fifteen (15) days’ prior notice to the other Party. During the Collaboration Term, LM will provide EB with reasonable access to the LM Field Technology, including reasonable access to LM’s premises and facilities for the purpose of reviewing and making copies or excerpts of drawings, tooling, software (object code and source code), and manufacturing, supply and other documentation including within the LM Field Technology.
