Cooperation by Customer. Customer acknowledges that the success and timeliness of the implementation process shall require the active participation and collaboration of Customer and its staff and agrees to act reasonably and co- operate fully with Xxxxxx to achieve the Completion of Services related to any Professional Services provided by Xxxxxx. To enable Xxxxxx to provide effective Support Services, the Customer will establish auto remote access based on remote access procedures compatible with Xxxxxx’ practices.

Cooperation by Customer. 9.1 Customer shall provide on time in all instances all information that may be useful and required for performance of the Agreement and shall guarantee that provided information shall be correct and complete.

Cooperation by Customer. While AIALABA will use reasonable efforts to complete its work in accordance with the estimated schedules and charges set out in the Statement(s) of Work, timing and cost requirements are subject to factors beyond AIALABA’s control, including force majeure events and delays caused by third parties and Customer. AIALABA shall not be responsible for any delays, cost overruns, or liability resulting from such factors. To facilitate prompt and efficient completion of the work, Customer and its personnel shall cooperate fully with AIALABA and its personnel in all respects, including, without limitation, providing information as to Customer requirements, providing access to the facilities and equipment/hardware on which the Local Software is to be installed, and providing access to all necessary information regarding Customer’s systems and facilities. Customer shall be responsible for making, at its own expense, any changes or additions to Customer’s current systems, software, and hardware that may be required to Customer’s access to and use of the Software.
Cooperation by Customer. If the Exchange notifies Customer that the Exchange has terminated the right of any Authorized Entity to access the Exchange Systems, Customer shall: (i) cease providing access to the Exchange Systems to the Authorized Entity within five (5) Business Days of its receipt of such notice; and (ii) within ten (10) Business Days after receipt of such notice, give notice to the Exchange confirming that it has ceased to provide such access and include the date on which it so ceased to provide access.
