Cooperation by Beacon Clause Samples

Cooperation by Beacon. Beacon will furnish to Verilink such information as Verilink may reasonably require from Beacon in connection with the registration statement (and the prospectus included therein) and shall not effect sales of the shares included in the registration after receipt of telegraphic or written notice from Verilink to suspend sales to permit Verilink to correct or update a registration statement or prospectus.
