Common use of Cooperation Agreements Clause in Contracts

Cooperation Agreements. (a) To facilitate the carrying out of the Project, the Recipient may make part of the proceeds of the Financing allocated to Categories (1), (2) and (3) available to Project Partners under cooperation agreements (the “Cooperation Agreements”) to be entered into between the Recipient and said Project Partners, under terms and conditions approved by the Association and in accordance with the Project Implementation Manual. (b) The Recipient shall exercise its rights and carry out its obligations under the Cooperation Agreements in such a manner as to protect the interests of the Recipient and the Association in order to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not amend, assign, abrogate, suspend, terminate, waive, or fail to enforce the Cooperation Agreements or any of their provisions. In case of any inconsistencies between the terms of this Agreement and the terms of the Cooperation Agreements, the terms of this Agreement shall prevail.
