Cooperate with Purchaser. Subject to Section 8(b), Seller shall, and shall cause each of its subsidiaries and shall direct each of their respective officers and employees to, reasonably cooperate and assist Purchaser and Purchaser's accountants, attorneys, employees, lenders and other representatives in consummating the transactions contemplated under this Agreement.
