Cooperate. VicForests and the Contractor agree to cooperate and liaise with the other in good faith so that the Agreement operates effectively throughout the Term. In particular, the Parties shall use their reasonable efforts and act in good faith to resolve any matter between them arising out of or in respect to this Agreement without resorting to the process under clause 19.

Lessons or programs offered through the Bike Park will also assist the rider in managing the risk of injury. No agency, partnership, franchise, joint venture, or employment relationship exists between Passport and Provider. Passport’s employees and agents will not be employees or agents of Provider. Passport shall be fully and solely responsible for the supervision, control, performance, compensation, benefits (including, without limitation, all forms of insurance) withholdings, health and safety of all of its employees and agents. Provider will not be responsible or liable for any withholding taxes or contributions to state worker’s compensation, unemployment or other funds or programs.
Cooperate. CSU’s and the City’s good faith efforts to reasonably communicate with each other and use reasonable efforts to take such steps as may be reasonably necessary to effectuate and implement the terms and conditions of this Agreement. For clarification, “Cooperate” will not include any obligation to incur liability or to retain or to utilize any third party consultants (including experts, advisors, or outside counsel).

Practice shall cooperate with SiteRx, in order to export patient data from the Practice’s electronic medical records system, including without limitation by providing to SiteRx, such information and reasonable access (including information regarding and access to Practice’s electronic medical records system) as is requested by SiteRx.
