Conversion or Exercise. Nothing contained in this Agreement shall require the Stockholder (or shall entitle any proxy of the Stockholder) to (a) convert, exercise or exchange any Company Option, Company RSU Award, warrant to purchase Company Shares or any other convertible security of Indigo in order to obtain any underlying Company Shares or (b) vote, or execute any consent with respect to, any Company Shares underlying any such Company Option, Company RSU Award, warrant to purchase Company Shares or any other convertible security of Indigo that have not yet been issued as of the applicable record date for such vote or consent.
