Conversion Intention. S▇▇▇ and A▇▇▇▇ Steel hereto agree that upon [•], the Members shall meet and discuss a possible sale or exchange of the Membership Interests then owned by A▇▇▇▇ Steel in the Company. S▇▇▇ and A▇▇▇▇ Steel recognize that the mechanism, timing and format of such a sale or exchange is difficult to formalize [•] before its enactment. It is anticipated that the parties shall explore a sale of the Membership Interest in the Company owned by A▇▇▇▇ Steel to either S▇▇▇ or the Company for cash and/or stock of S▇▇▇ Group Limited.
