Controlling Law, Disputes Jurisdiction. This Agreement and each of the Ancillary Agreements and any other agreements and instruments executed and delivered pursuant hereto and thereto (except as they state otherwise) shall be construed and enforced in accordance with the substantive laws of the Federal Republic of Germany, without regard to principles of conflict of laws, provided that the governing law with respect to the transfer of any title will be the law applicable to the jurisdiction in which the asset resides, and the law governing relationships with any employee will be the law applicable to the jurisdiction within which that employee is principally employed. Any dispute arising under or related to or in connection with this Agreement or any of such other agreements and instruments (except as they provide otherwise) shall be dealt with as follows:
