Common use of Control Agreements Clause in Contracts

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take Subject to Section 3.6(b), take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take Except for Excluded Accounts, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, Accounts electronic chattel paper, investment property, and letter-of-credit rightsrights of the Loan Parties.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section SECTION 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights, except for any Securities Accounts or Deposit Accounts which at anytime contain less than $150,000 for any one Securities Account or Deposit Account and $1,500,000 in the aggregate for all such Securities Accounts or Deposit Accounts.

Control Agreements. Take all reasonable steps in order for Administrative Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take Subject to the limitations set forth in Section 6.12, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps requested by Agent in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its domestic Securities Accounts, domestic Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rightsrights of Holdings, Borrower and each of their respective Domestic Subsidiaries.

Control Agreements. Take all reasonable steps requested by Administrative Agent in order for Collateral Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take Subject to Section 6.12, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its the Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rightsrights of Borrower or any Guarantor.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Obligors’ Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for the Collateral Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Commercial Code with respect to (subject to the proviso contained in Section 6.12) all of its domestic Securities Accounts, domestic Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paperpaper evidencing Indebtedness owing to Borrowers in an amount in excess of $25,000, investment propertyproperty in an amount in excess of $25,000, and letter-of-credit rightsrights in an amount in excess of $25,000.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to Section 3.3(a) and the proviso provisos contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, material electronic chattel paper, investment property, and letter-of-material letter of credit rightsrights (except to the extent the same constitute Excluded Assets).

Control Agreements. Take To the extent required under the Loan Documents, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.127.12) all of its Securities Accounts, Deposit Accounts, and all of its electronic chattel paper, investment property, and letter-of-credit rightsrights other than all such items with an aggregate value not exceeding Five Hundred Thousand Dollars ($500,000).

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rightsrights (other than with respect to such assets of Princeton Canada).

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section SECTION 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take To the extent required under the Loan Documents, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, and all of its electronic chattel paper, investment property, and letter-of-credit rightsrights other than all such items with an aggregate value not exceeding Five Hundred Thousand Dollars ($500,000).

Control Agreements. Take all reasonable steps required by Agent in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take As required herein, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.126.11) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take As required herein, take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.127.11) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.126.11) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit AccountsAccounts (other than payroll, withholding tax and other fiduciary accounts and the Term Lender Collateral Account) electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of Borrower’s and its Restricted Subsidiaries’ respective Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts and Deposit Accounts (other than (a) any Player’s Trust Account, (b) any payroll account, (c) to the extent Borrowers are in compliance with Section 3.3(c), any M&T Accounts, Deposit Accountsand (d) any L/C Collateral Account), electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-1068106, 9-1049104, 9-1059105, 9-1069106, and 9-107 9107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.

Control Agreements. Take all reasonable steps in order for Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.12) all of its Borrowers’ and their U.S. Subsidiaries’ Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-credit rights.

Control Agreements. Take all reasonable steps in order for Collateral Agent to obtain control in accordance with Sections 8-106, 9-104, 9-105, 9-106, and 9-107 of the Code with respect to (subject to the proviso contained in Section 6.127.02(e)) all of its Securities Accounts, Deposit Accounts, electronic chattel paper, investment property, and letter-of-letter of credit rights.
