The Parties acknowledge Teekay's contribution of the Remaining OLLC Interest to the MLP prior to the Offering, and Teekay acknowledges (a) the continuation of its 98% limited partner interest in the MLP in exchange for its contribution to the MLP of the Remaining OLLC Interest and (b) the Note.
