Contributing Member. (i) Has filed or will file or furnish when due in accordance with all applicable laws all material Returns; (ii) Has caused all Returns to be (and as to any Returns not filed as of the date hereof, will cause such Returns to be) complete and accurate in all material respects; (iii) Has timely paid (or adequate provision has been made) for all Taxes shown as due and payable on the Returns that have been filed or are being apportioned pursuant to this Agreement; and (iv) Is not subject to any liens for Taxes now due and payable on the Assets.
