Contrary terms. 29.1 The terms of this Agreement shall:
(a) prevail over and take the place of any other items or conditions stipulated, incorporated, referred to or contained in any document or communication from either party in the course of negotiations of this Agreement or any Statement of Work; and
(b) apply to the exclusion of any other terms or conditions on the Supplier’s quotation or Customer’s purchase order or any other document containing terms which seek to govern the provision of the Services which is not expressly referenced in this Agreement.
Contrary terms. The terms and conditions of each order shall be as provided by this Agreement, and to the extent any purchase order, invoice or acknowledgment form used by Distributor or BD contains any provisions which are in addition or contrary to the provisions of this Agreement (other than order quantities and information as to the discount represented by any other forms of consideration, including, without limitation, Free Goods, made available by BD), such additional or contrary provision shall have no force or effect and the terms of this Agreement shall govern.
