The execution, delivery, and performance of this Agreement by Metro does not and will not result in or cause a violation or breach of, conflict with, constitute a default under, require any consent, approval, waiver, amendment, authorization, notice or filing under any agreement, contract, understanding, instrument, mortgage, lease, indenture, document or other obligation to which Metro is a party or by which Metro or any of its properties or assets are bound which will have a material adverse effect on Metro’s ability to perform and satisfy its obligations and duties hereunder.
