Contracts and Purchase Orders. Except for the Excluded Liabilities and subject to the Purchaser’s indemnification rights under Section 8.4 (including, without limitation, the Purchaser’s right to seek indemnification for Product warranty claims in excess of the limit set forth in Section 4.20), all (i) Liabilities arising in connection with the Transferred Contracts and (ii) outstanding purchase and sales orders relating to the CNS Division entered into by Seller in the ordinary course of business.
