Contractor’s Statements. CONTRACTOR’S proposal and other supplemental information submitted to the Town, which the Town has relied on in awarding and 3186 entering this Agreement, do not: 3187 61.07.1 (i) contain any untrue statement of a material fact, or 3188 61.07.2 (ii) omit to state a material fact that is necessary in order to make the 3189 statements made, in light of the circumstances in which they were made, not misleading. 3190 61.08 CONTRACTOR’S Investigation. CONTRACTOR has made an independent 3191 investigation (satisfactory to it) of the conditions and circumstances surrounding the Agreement 3192 and the work to be performed hereunder. 3193 61.08.1 CONTRACTOR has taken such matters into consideration in entering 3194 this Agreement to provide services in exchange for the compensation provided for under the terms 3195 of this Agreement. 3196 61.09 Ability to Perform. CONTRACTOR possesses the business, professional, and 3197 technical expertise to collect, transport, and process the Garbage, Recyclable Material, Organic 3198 Waste, and Large Items generated in the TOWN, and to provide Street Sweeping Services. 3199 61.09.1 CONTRACTOR possesses the ability to secure equipment, facility(ies), 3200 and employee resources required to perform its obligations under this Agreement. 3201 61.10 Recognizing Labor Rights. CONTRACTOR recognizes, and agrees to continue to 3202 recognize, the right of its employees to peacefully organize and to file a valid petition seeking a 3203 lawful election conducted by the National Labor Relations Board. Such secret ballot election 3204 would determine if a majority of the subject employees want a labor organization to be their 3205 exclusive representative in collective bargaining with the CONTRACTOR. 3206 61.10.1 CONTRACTOR agrees to engage in good faith negotiations with any 3207 current and duly elected labor organization of the subject employees, and to meet at reasonable 3208 times to discuss wages, hours and other terms and conditions of employment. CONTRACTOR 3209 also represents that during negotiations with such duly elected labor organization, if necessary, it 3210 would support the use of a federal mediator and a reasonable cooling off period, if requested in 3211 writing by either party. 3212 ARTICLE 62.
