Common use of Contractor Tools Clause in Contracts

Contractor Tools. Contractor will retain exclusive ownership of all methods, ideas, concepts, algorithms, trade secrets, software documentation, other intellectual property or other information belonging to Contractor that existed before the effective date of this Agreement (“Contractor Tools”) and the technical skill and expertise of Contractor’s employees gained while working for or with Client.

Contractor will retain exclusive ownership of all methods, ideas, concepts, algorithms, trade secrets, software documentation, works of authorship, other intellectual property or other information belonging to Contractor that existed before the effective date of this Agreement or is created independently of the performance of the Services, plus any modifications or enhancements thereto and derivative works based thereon (“Contractor Tools”) and the technical skill and expertise of Contractor’s employees gained while working for or with ClientOwner.
