Section 3.19(o) of the Disclosure Schedule lists, as of the Agreement Date, (i) all current independent contractors, consultants and advisors to the Company or any Subsidiary of the Company (ii) the location at which such independent contractors, consultants and advisors are providing services; (iii) the dates of engagement, and the notice or termination provisions applicable to the individual; (iv) the current terms of such independent contractors, consultants and advisors compensation; and (v) description of the independent contractor’s services. Except as set forth on Section 3.19(o) of the Disclosure Schedule, all independent contractors, consultants and advisors to the Company or any Subsidiary of the Company can be terminated immediately and without advance notice or Liability on the part of the Company or applicable Subsidiary of the Company.

Except as set forth on Section 3.19(n) of the Disclosure Schedule, all independent contractors, consultants and advisors to the Company or any Subsidiary of the Company can be terminated immediately and without advance notice or Liability on the part of the Company or applicable Subsidiary of the Company.

Section 3.20(r) of the Acquired Company Disclosure Schedule lists, as of the Agreement Date, all current individual independent contractors, consultants, agency workers and advisors to any Acquired Company or any Subsidiary thereof and, for each such Person: (i) their primary work location; (ii) their date of engagement; (iii) their applicable rate of remuneration; and (iv) a brief description of their services provided. All individual independent contractors, consultants, agency workers and advisors to any Acquired Company or any Subsidiary thereof can be terminated immediately and without advance notice or Liability on the part of the applicable Acquired Company or Subsidiary thereof other than payment of accrued compensation.
Contractor List. A list of all Contractors, all Subcontractors, suppliers and materialmen employed or retained in connection with the New Construction to be completed at the Project. The list shall include the name, address and telephone number of each such company or person, a general statement of the nature of the work to be done, the labor and material to be supplied, the names of materialmen, if known, and the approximate dollar value of such labor or work with respect to each if not otherwise shown on the Project Budget. The Buyer shall have the right to telephone or otherwise communicate with the Contractor, each Subcontractor or materialman to verify the facts disclosed by such list or any Advance Request or for any other purpose.
