Contract Flow-through Clause Samples

The Contract Flow-through clause ensures that obligations, rights, or requirements from a primary contract are passed down to subcontractors or secondary parties involved in the project. In practice, this means that if a main contractor is bound by certain terms—such as confidentiality, quality standards, or compliance requirements—these same terms must be included in agreements with any subcontractors or suppliers. This clause is essential for maintaining consistency and accountability throughout the contractual chain, preventing gaps in compliance and ensuring that all parties involved are held to the same standards as set out in the original agreement.

Contract Flow-through. By appropriate written agreement, the Contractor and Architect will require each subcontractor and consultant, to the extent of the Work to be performed by the subcontractor or consultant, to be bound to the Contractor and/or Architect by terms of the Project Objective, the Contract Task Matrix, and the Implementation Documents, and to assume toward the Contractor and/or Architect all the obligations and responsibilities that the Contractor and/or Architect assumes toward the Owner through those documents. Each subcontract and consulting agreement will preserve and protect the rights of the Parties under this Agreement with respect to the Work to be performed by the subcontractor and/or consultant so that subcontracting will not prejudice the Parties rights. Where appropriate, the Contractor and Architect will require each subcontractor and consultant to enter into similar agreements with tier-subcontractors and tier-consultants.
